Professional Experience

As a partner in our California office, Dana advises national and state banks, consumer and commercial finance companies, mortgage bankers, licensed lenders, and other financial institutions on developing and maintaining nationwide finance programs. As one of the pioneers in developing and structuring bank partner programs, a significant portion of his practice focuses on advising banks in establishing bank partner programs, negotiating the terms of bank partner programs and related agreements on behalf of banks, fintechs, and non-bank partners, and drafting bank partner agreements on behalf of banks, fintechs, and non-bank partners.

With extensive experience in financial services law, Dana helps clients:

  • Ensure compliance with federal and state lending and consumer and commercial credit laws.
  • Develop and implement privacy policies and regulatory compliance programs.
  • Navigate licensing and corporate governance requirements.
  • Manage risk and respond to regulatory inquiries and enforcement actions.
  • Structure and negotiate complex business transactions, including mergers and acquisitions, asset sales, and warehouse financing.

Before joining Hudson Cook, Dana was Vice President, Secretary, and General Counsel at H&R Block Mortgage Corporation, a subsidiary of H&R Block, Inc. In this role, he advised executive leadership on corporate governance, business practices, and compliance with federal and state consumer finance laws. He also managed litigation, regulatory investigations, and government agency proceedings while negotiating high-value commercial contracts, including asset purchase agreements, mergers, and software licensing deals.

Previously, Dana served as Vice President and Senior Counsel at Assurance Mortgage Corporation of America from 1997 to 1999, prior to its acquisition by H&R Block.

With deep expertise in regulatory compliance, financial transactions, and corporate governance, Dana provides strategic legal counsel that helps financial institutions navigate complex regulatory landscapes and achieve their business objectives.
